Terms of Service
Last updated: September 2026
These terms cover our engagements generally. Where a proposal or statement of work says something different, that document wins.
Services
Roc & Rose Digital provides software development, AI and integration services as described in individual service agreements. All engagements are subject to these terms unless otherwise agreed in writing.
Engagement terms
Each project is governed by a specific proposal or statement of work setting out scope, timeline, deliverables and pricing. Those documents form part of these terms and take precedence over them where they differ.
Payment
Payment terms are as specified in the individual proposal. Unless stated otherwise, invoices are due within 7 days of issue.
Intellectual property
On full payment you own the custom deliverables created for your engagement, including the source code and its documentation. We retain ownership of pre-existing tools, frameworks and methodologies we bring to the work, and you get a licence to keep using them as part of what we built.
Confidentiality
Both parties keep the other’s proprietary information confidential. This obligation survives the end of the engagement.
Limitation of liability
Our liability is limited to the fees paid for the specific services giving rise to the claim. We are not liable for indirect, consequential or incidental damages. Nothing here excludes rights you have under the Australian Consumer Law that cannot be excluded.
Termination
Either party may end an engagement with 30 days written notice. Fees for work completed up to the termination date remain payable. Ongoing arrangements with a minimum term are governed by that term.
Governing law
These terms are governed by the laws of Victoria, Australia, and disputes will be resolved in the courts of Victoria.
